Terms and conditions

Last updated: 14 October 2026 · Applies to clients and visitors in every country we serve

In plain language

  • We provide only the services listed on this website, and only what is written in your accepted proposal.
  • Suggestions and ideas shared in meetings or messages are not commitments unless written into the proposal.
  • Google, Meta and AI platforms change their algorithms daily or even hourly, so no rankings, leads or sales can be guaranteed.
  • Ad budgets are paid by you directly to the platforms, and platform decisions are outside our control.
  • Fees are paid in advance, are for our work (not for results), and the same pricing applies in every country.
  • Indian law applies, with disputes resolved in Kottayam, Kerala.

1. About these terms

These Terms and Conditions (“Terms”) govern your use of the website ladigits.com (the “Website”) and every service provided by LA DIGITS (“LA DIGITS”, “we”, “us” or “our”), a digital marketing, web development and creative agency based at 34-100, MC Road, Kottayam, Kerala 686631, India.

By using the Website, requesting a quotation, accepting a proposal, making a payment or allowing us to start work, you (“you”, “the Client”) confirm that you have read, understood and accepted these Terms. If you are accepting on behalf of a company or organisation, you confirm that you are authorised to bind it.

These Terms apply to clients in every country we serve, including India, the United Kingdom, the United States, Canada, Australia, New Zealand, the United Arab Emirates, Qatar, Saudi Arabia and Oman.

2. Definitions

  • Proposal: the written quotation, proposal, estimate, invoice or scope document we issue for an engagement, by email, WhatsApp, PDF or any other written form.
  • Services: only the specific services described in the accepted Proposal.
  • Deliverables: the final outputs listed in the Proposal, such as designs, videos, website files, reports or campaign set-ups.
  • Third-Party Platforms: services we do not own or control, including Google (Search, Ads, Maps, Business Profile, YouTube, Analytics), Meta (Facebook, Instagram, WhatsApp), Microsoft, LinkedIn, X, Pinterest, hosting companies, domain registrars, payment gateways, WordPress, plugins, themes and AI tools.
  • Ad Spend: money paid to advertising platforms for ads to run. It is separate from our management fees.
  • Business Day: Monday to Saturday, excluding public holidays in Kerala, India.

3. Services we provide

We provide only the services that are listed on this Website, including digital marketing, Google Ads, Meta Ads, SEO, local SEO, Google Business Profile management, AI search optimization, social media marketing and management, website design and development, graphic design, video production and video editing, and related services described on our service pages.

We do not provide any service that is not described on this Website, and nothing on the Website is an offer to provide a service that is not listed.

For every engagement, the accepted Proposal is the only definition of what we will do. If a task, platform, channel, feature, deliverable or outcome is not written in the Proposal, it is not part of the Services, even if it was mentioned in a meeting, call, message, presentation or on the Website.

4. Suggestions, ideas and recommendations

During consultations, audits, calls, meetings and messages we may share ideas, suggestions, opinions, recommendations, examples and best practices. These are provided in good faith for discussion only.

  • Suggestions and recommendations do not form part of the Services and are not commitments, promises or agreed deliverables, unless they are expressly written into an accepted Proposal.
  • Verbal discussions, WhatsApp conversations, free consultations, free audits and pitch materials do not create any obligation for us to deliver work.
  • Decisions about your business (budgets, offers, prices, products, target markets and claims) are always yours. You remain responsible for those decisions and their results.
  • Free consultations and audits are provided “as is”, without any warranty, and do not create a client relationship until a Proposal is accepted and paid.

5. Proposals, scope and changes

  • A Proposal is accepted when you confirm it in writing (including by email or WhatsApp) or make any payment against it.
  • Quotations are valid for 15 days from the date of issue unless the Proposal states otherwise.
  • Work outside the Proposal (extra pages, designs, revisions, platforms, campaigns, languages, shoots, edits or reports) is additional work and will be quoted separately before it starts.
  • If you change the brief, materials or direction after work has started, timelines and fees may change. We will tell you in writing first.
  • Timelines in a Proposal are estimates. They depend on you supplying content, access, approvals and payments on time.

6. Prices and “starting from” rates

Prices on the Website, including on our Pricing page, are common standard starting prices (“starting from”) shown for general guidance. They are not an offer, and the final price for your requirement is the price stated in your Proposal.

Our pricing is the same for every country. Clients in India and clients overseas receive the same starting prices for the same scope. We may quote in Indian Rupees (INR) or another currency stated in the Proposal.

We may update the prices shown on the Website at any time. Changes do not affect a Proposal you have already accepted, for the period it covers.

7. Fees, payments and taxes

  • Unless the Proposal says otherwise, project work is payable in advance (or as an advance with milestone payments), and monthly services are payable in advance at the start of each month.
  • Applicable taxes, such as Goods and Services Tax (GST) in India, are added where required by law.
  • International clients are responsible for bank charges, transfer fees, currency conversion costs and any withholding taxes in their country, so that we receive the full invoiced amount.
  • If a payment is overdue, we may pause work, campaigns, posting, hosting support or reporting until it is cleared. Paused work may need to be rescheduled.
  • Fees are charged for our time, expertise and work, not for any specific result.
  • Refunds: fees for work that has started, monthly fees for a month that has begun, set-up fees, shoot bookings, third-party purchases (stock media, licences, domains, hosting, plugins, model fees, travel) and completed work are non-refundable. If we cannot start a project at all for reasons within our control, we refund any unused advance.

8. Advertising budgets and Third-Party Platforms

  • Ad Spend is separate from our fees. Unless the Proposal says otherwise, Ad Spend is paid by you directly to the platform (for example Google Ads or Meta) using your own payment method.
  • Advertising and listing accounts should be created in your name or your business’s name. You remain the owner.
  • Every Third-Party Platform has its own terms, policies, review processes, billing rules and decisions. We follow them, but we do not control them.
  • We are not responsible for disapproved ads, rejected content, limited delivery, account restrictions or suspensions, policy changes, billing errors, invalid clicks, reach drops, profile suspensions, verification delays, outages or any other action taken by a Third-Party Platform.
  • Platforms may charge your payment method automatically. You are responsible for monitoring your Ad Spend and payment methods, and for any charges made by a platform.

9. No guarantee of results: algorithms change constantly

Search engines, maps, social networks, advertising systems and AI assistants change their algorithms, ranking systems, policies and features constantly, sometimes daily or even hourly, usually without notice. Results also depend on competition, your market, budget, location, website, offer, pricing, reviews, seasonality and many factors outside our control.

For these reasons, we do not and cannot guarantee any specific result, including:

  • any ranking or position on Google Search, Google Maps, the local map pack, YouTube, AI Overviews or any AI assistant;
  • any amount of traffic, impressions, reach, followers, views, engagement, clicks, calls, enquiries, leads, sales, bookings or revenue;
  • any cost per click, cost per lead, return on ad spend or other performance metric;
  • the approval, visibility or continued availability of any ad, post, profile, review or account.

Any projections, estimates, case examples, benchmarks or “typical” timelines are illustrations only. Past results, ours or anyone else’s, do not predict future results. Rankings and performance can go up and down after work is completed.

10. Your responsibilities as the Client

You agree to:

  • provide accurate, complete and lawful information, content, prices, offers and claims, and keep them updated;
  • hold every licence, registration, permission and approval your business needs (for example medical, educational, real estate, financial, food-safety or trade licences) and make sure your advertising complies with the laws and regulations that apply to you in every country you target;
  • make sure you own or have permission to use every logo, photo, video, font, text, music, trademark and testimonial you give us;
  • give us the access, logins or manager permissions needed, and keep your own passwords secure;
  • review and approve work promptly and check all details (spelling, prices, phone numbers, dates, offers and legal statements) before approval;
  • respond to leads, calls, messages and reviews generated by the Services, the results of marketing depend on how your business follows up;
  • not ask us to do anything unlawful, misleading, discriminatory, infringing or against platform policies.

11. Approvals and revisions

  • Each Proposal states the number of revision rounds included. Further revisions are charged as additional work.
  • Approval may be given by email, WhatsApp or any written message. Once you approve a Deliverable, you accept responsibility for its content, and later changes are additional work.
  • If we ask for approval and receive no response within 7 Business Days, we may treat the Deliverable as approved so that the schedule can continue.
  • Content that is published, scheduled or launched at your request is deemed approved.

12. Intellectual property and portfolio

  • Your materials: you keep ownership of everything you give us. You grant us a licence to use them only to provide the Services.
  • Deliverables: once all fees for a project are paid in full, the final approved Deliverables created specifically for you are transferred to you for your business use, unless the Proposal says otherwise. Until full payment, all rights remain with us.
  • Our tools and know-how: our methods, templates, frameworks, code libraries, processes, unused concepts, drafts and rejected designs remain our property.
  • Third-party assets: stock images, video, music, fonts, plugins, themes and software are licensed from their owners under their own licence terms. You must keep to those terms.
  • Raw files: editable source files, raw footage and project files are not included unless the Proposal says so.
  • Portfolio: we may show non-confidential work and your business name in our portfolio and marketing, unless you ask us in writing not to.

13. Accounts, access and security

You remain the owner of your website, domain, hosting, social media pages, ad accounts, analytics and Google Business Profile. We work with manager or user access wherever possible.

You are responsible for keeping your owner credentials safe and for removing our access when an engagement ends. We are not responsible for security incidents caused by weak passwords, shared credentials, third-party plugins, hosting providers, devices or people outside our control.

14. Websites, hosting and maintenance

  • Websites are built for the browsers, devices and scope described in the Proposal.
  • Hosting, domains, email, plugins, themes and third-party integrations are provided by third parties. Their uptime, security, pricing and changes are outside our control.
  • Software updates, security monitoring, backups and fixes after handover are only included if you have an active maintenance plan with us.
  • You are responsible for keeping your own copy of website files and content unless backups are part of a plan.
  • We are not responsible for problems caused by changes made by you or other parties after handover.

15. Confidentiality

Both parties will keep the other’s confidential business information private and use it only for the engagement. This does not apply to information that is public, already known, independently developed or required to be disclosed by law. These obligations continue for two years after the engagement ends.

16. Data protection

Our Privacy Policy explains how we handle personal data. When we handle personal data about your customers or leads to deliver the Services, you are responsible for having a lawful basis and the required notices or consents under the data protection laws that apply to you, and we process that data only on your documented instructions.

17. Term, cancellation and termination

  • Monthly services continue month to month until cancelled. Either party may cancel with 30 days’ written notice, unless the Proposal states a minimum term.
  • Projects may be cancelled in writing. Fees for work completed and costs already committed remain payable, and advances are not refundable once work has started.
  • We may suspend or end the Services immediately if invoices remain unpaid, if we are asked to do anything unlawful or against platform policies, if our team is treated abusively, or if continuing would harm our reputation.
  • When an engagement ends, you must pay all outstanding fees. We will hand over approved Deliverables that have been paid for, and you must remove our access to your accounts.

18. Limitation of liability

To the fullest extent permitted by law:

  • we are not liable for any indirect, incidental, special or consequential loss, or for loss of profit, revenue, business, goodwill, data, rankings or opportunity;
  • we are not liable for Ad Spend, for platform decisions, or for the acts or omissions of any Third-Party Platform, hosting company or supplier;
  • our total liability arising from or relating to any engagement is limited to the fees you actually paid us for the Services in the three (3) months before the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited by law.

19. Indemnity

You agree to indemnify and hold LA DIGITS, its team and partners harmless from claims, losses, penalties and costs (including reasonable legal fees) arising from your content, products, services, offers, claims, licences, instructions, use of the Deliverables, breach of these Terms, or breach of any law or third-party right.

20. Professional standards

We work ethically and within platform guidelines. We do not create fake reviews or testimonials, buy reviews or followers, use deceptive or black-hat techniques, make misleading claims, or run campaigns for unlawful products or services. We may decline or stop any request that conflicts with these standards, the law or platform policies.

21. Non-solicitation

During an engagement and for 12 months after it ends, you agree not to directly hire or engage any member of our team who worked on your account without our written consent.

22. Communication and electronic records

Email, WhatsApp and other written messages are accepted ways to communicate, give instructions, approve work and accept Proposals, and are valid records of agreement. Our working hours follow Indian Standard Time (IST). We will agree a communication schedule with clients in other time zones.

23. Force majeure

We are not responsible for delays or failures caused by events beyond our reasonable control, including natural disasters, floods, epidemics, government action, internet or power outages, platform outages, cyber attacks, strikes or similar events.

24. Use of this Website

You may use this Website for lawful purposes only. You must not copy, scrape or reproduce its content or design for commercial use without permission, attempt to gain unauthorised access, introduce malware, or use it to send spam or unlawful content. Information on the Website is general and may change without notice. See our Disclaimer.

25. International clients

We serve clients in many countries from India. You are responsible for making sure that the Services, your advertising and your content comply with the laws of every country, state or region where you operate or advertise. Where the law of your country gives consumers rights that cannot be excluded, these Terms do not remove those rights.

26. Governing law and disputes

These Terms and every engagement are governed by the laws of India.

If a dispute arises, both parties will first try to resolve it in good faith within 30 days of written notice. If it is not resolved, it will be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996 (India). The seat and venue of arbitration will be Kottayam, Kerala, India, and the proceedings will be in English. Subject to arbitration, the courts at Kottayam, Kerala have exclusive jurisdiction.

27. General

  • Entire agreement: these Terms and the accepted Proposal form the entire agreement for an engagement. If they conflict, the Proposal applies for that engagement.
  • Changes: we may update these Terms by publishing a new version on this page. The version in force when you accept a Proposal applies to that Proposal.
  • Severability: if any part of these Terms is found invalid, the rest remains in force.
  • No waiver: not enforcing a right does not waive it.
  • Assignment: you may not transfer your rights under these Terms without our written consent.
